Terms of Service

1. Introduction and Scope
These Terms of Service govern access to and use of the Relyo platform (the "Service"), available at https://relyohq.com.
Relyo ("Relyo", "we", "us", or "our") is operated by Rafail Dimitrios Diftopoulos & Nikolaos Dimitrios Touratzidis, based in Greece.
The Service is a cloud-based software platform designed for hotels and hospitality organisations to manage seasonal employee housing, including property management, housing allocation, inspections, ticketing, utility tracking, and related administrative functions.
The Service operates exclusively on a business-to-business basis. Access is provided to hotels and hospitality organisations that subscribe to the Service (each a "Tenant"). Individual users, including employees, may access the Service only in connection with a Tenant and solely through an invitation issued by that Tenant.
There is no independent registration available to employees or other end users outside a Tenant relationship.
By accessing or using the Service, the Tenant and each authorised user agree to be bound by these Terms.
2. Account Structure and Invitation-Based Registration
Access to the Service is structured as follows:
- Each Tenant maintains a dedicated and logically isolated environment within the multi-tenant architecture of the platform.
- Individual user accounts may only be created following a valid invitation issued by an authorised administrator of a Tenant. The invitation enables the invited individual to create a user account that is permanently linked to the inviting Tenant.
- Employees and other users cannot independently register for the Service. All individual accounts exist exclusively within the organisational structure of a Tenant and are controlled by that Tenant.
- The Tenant is solely responsible for determining which individuals are invited, assigning roles and permissions, and ensuring that access is granted only to authorised persons.
Each user must provide accurate and complete registration information and keep such information up to date. Users are responsible for maintaining the confidentiality of their credentials and for all activities carried out under their account. Any suspected unauthorised access must be reported immediately to raphael@relyohq.com.
The Tenant may suspend or remove access of any linked user at any time.
3. Acceptable Use
The Service may only be used for legitimate housing management and related hospitality operations within the scope of the Tenant's business activities. Users agree not to:
- Violate any applicable laws or regulations.
- Upload or transmit malicious code, harmful content, malware, or viruses.
- Attempt unauthorised access to other Tenants' environments or to the underlying infrastructure.
- Interfere with the integrity or availability of the Service.
- Use the Service for any purpose other than managing employee housing and related hospitality operations.
- Scrape, data-mine, or automatically extract data from the platform without prior written consent.
We reserve the right to suspend or restrict access in the event of a breach of these Terms, with notice where reasonably practicable.
4. Data Protection and Roles
Use of the Service involves the processing of personal data. Please refer to our Privacy Policy for detailed information.
For all personal data relating to employees and other individuals uploaded or managed within a Tenant environment for housing allocation, inspections, administrative management, and related operational purposes, the Tenant acts as the data controller and Relyo acts as a data processor.
In this capacity, Relyo processes personal data solely on the documented instructions of the relevant Tenant and for the purpose of providing the Service.
The contractual relationship between Relyo and each Tenant includes a Data Processing Agreement forming an integral part of the subscription arrangement. Under this agreement, Relyo undertakes to:
- Process personal data only on documented instructions.
- Ensure that authorised persons are bound by confidentiality obligations.
- Implement appropriate technical and organisational security measures.
- Assist the Tenant in responding to data subject rights requests.
- Notify the Tenant of personal data breaches without undue delay.
- Delete or return personal data upon termination of the Service, subject to legal retention requirements.
In relation to limited processing activities necessary for account administration, billing, fraud prevention, platform security, and compliance with legal obligations, Relyo acts as an independent data controller.
5. Intellectual Property
The Service, including its software, architecture, design, documentation, trademarks, and all related intellectual property rights, remains the exclusive property of Relyo or its licensors.
Tenants retain ownership of all data they upload to the Service. By using the Service, the Tenant grants Relyo a limited, non-exclusive licence to host, process, transmit, and store such data solely for the purpose of providing, maintaining, securing, and improving the Service in accordance with these Terms.
No rights are granted except as expressly stated.
6. Service Availability
The Service is provided on an "as is" and "as available" basis. While we aim to maintain high availability, we do not guarantee uninterrupted or error-free operation. Planned maintenance will be communicated in advance where reasonably possible.
We are not responsible for service disruptions caused by events beyond our reasonable control, including internet outages, force majeure events, or failures of third-party infrastructure providers.
7. Fees and Payment
Access to the Service by a Tenant is subject to a separate commercial agreement governing subscription fees, billing cycles, and payment terms.
Individual users invited by a Tenant do not enter into a separate paid agreement with Relyo unless expressly agreed in writing.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided without warranties of any kind, whether express or implied.
- Relyo shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption arising out of or in connection with the use of the Service.
- Relyo's total aggregate liability arising out of or in connection with the Service shall not exceed the total subscription fees paid by the relevant Tenant during the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability for fraud or wilful misconduct.
9. Termination
- A Tenant may terminate the Service in accordance with the applicable subscription agreement.
- A Tenant may deactivate or delete individual user accounts at any time.
- Relyo may suspend or terminate access in the event of a material breach of these Terms.
Upon termination, access to the Service will cease. Personal data will be retained and deleted in accordance with the Privacy Policy and the applicable Data Processing Agreement. Tenants may request data export within the period specified in the applicable agreement.
10. Age Requirement
The Service is intended for individuals who are at least 18 years old. By accessing the Service, each user represents that they meet this requirement.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of Greece and applicable European Union legislation.
Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Greece.
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified to registered Tenant administrators at least thirty (30) days before taking effect.
Continued use of the Service after the effective date of the updated Terms constitutes acceptance of the revised Terms.
